The Board would have exactly 11 seats, with one of them permanently taken by Scott Cawthon himself. The rest of the members of the Board would be initially appointed by Scott Cawthon. The Board would regularly meet at least quarterly, however they can meet more often if they decide so. A special (not regular) meeting to discuss a specific topic may be called by the Chairman of the Board and must be called on the written request of 1/3rd of the members of the Board. The Board has a quorum of a majority of the membership of the Board, which is required to conduct all substantive business. Decisions are ordinarily made by a majority vote of votes cast, not counting abstentions as votes. For example, if 6 of 11 members show up for a meeting, the quorum is met and the Board can conduct substantive business. If out of these 6 members, 2 vote For, 1 person votes Against, 3 Abstain on some item of business, the decision is considered to be made for the option "For", because there are 3 votes (abstentions don't count as votes at all), and the majority of them (2) are For. Before every meeting, two notices need to be sent to every member, first 1 month prior, then 1 week prior. Each notice must contain at least the date, the time and the location of the meeting. Finally, every member of the Board serves a term of 1 year. Initially it's Scott + appointed members, but after that the Board forms a smaller Nominating Committee (perhaps 5 seats), members of which are elected among themselves. They nominate candidates for the Board when the terms of the current members are ending, and then the Board among nominated candidates elects candidates for the next Board.
